Welcome to the Chaceef® Rice Cooker, Mini Rice Cooker website (the “Site”). This Site is operated by Chaceef (“Chaceef”, “we”, “us” and/or “our”). By accessing and using this Site, you agree to be bound by the following terms and conditions and our Privacy Policy (collectively, this “Agreement”). This Agreement applies to all users of this Site.

Please read this Agreement carefully before accessing or using this Site. By accessing or using any part of the Site, you agree to become bound by this Agreement. Intellectual Property Rights

The Site and all of its contents, features, and functionality, are owned by Chaceef and our licensors and certain other third parties. All content included on this Site, such as text, graphics, logos, button icons, images, data compilations, and software, is the property of Chaceef or its content suppliers and is protected by United States and international copyright laws. The compilation of all content on this Site is the exclusive property of Chaceef and protected by United States and international copyright laws. All software used on this Site is the property of Chaceef or its software suppliers and is protected by United States and international copyright laws.

You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in this Agreement. You acknowledge that the Site has been developed, compiled, prepared, revised, selected, and arranged by Chaceef and others through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money and constitutes valuable industrial and intellectual property and trade secrets of Chaceef and such others. You agree to protect the proprietary rights of Chaceef and all others having rights in the Site during and after the term of this Agreement and to comply with all reasonable written requests made by Chaceef or its suppliers directing you to protect their and others’ contractual, statutory, and common law rights in the Site. You agree that you will not copy, reproduce, transmit, publicly display, publicly perform, distribute, modify, rewrite, allow any third party to use, or create derivative works of the Site or any of the materials contained therein.

The trademarks, service marks, and logos of Chaceef (the “Chaceef Trademarks”) used and displayed on this Site are registered and unregistered trademarks or service marks of Chaceef. Other company, product, and service names located on the Site may be trademarks or service marks owned by others (the “Third Party Trademarks,” and, collectively with Chaceef Trademarks, the “Trademarks”). Nothing on this Site or in this Agreement should be construed as granting, by implication, estoppel, or otherwise, any license or right to use the Trademarks, without our prior written permission specific for each such use. Use of the Trademarks as part of a link to or from any site is prohibited unless establishment of such a link is approved in advance by us in writing. All goodwill generated from the use of the Chaceef Trademarks inures to our benefit.

Elements of the Site are protected by trade dress, trademark, unfair competition, and other laws and may not be copied or imitated in whole or in part, by any means, including but not limited to the use of framing or mirrors. None of the Trademarks may be used by you or any other third-party without Chaceef’s prior written consent in each instance.

User Content

Users of this Site may have the ability to post reviews, comments, images, content and other information, send e-cards and other communications, and submit suggestions, ideas, comments, questions or other information (“User Content”), which may be accessible and viewable by the public. You are solely responsible and liable for all such User Content you upload, post, e-mail, transmit, or otherwise disseminate on or through this Site. You represent and warrant that you have all rights necessary to provide such User Content and that all such User Content complies with this Agreement.

By posting, uploading, inputting, providing or submitting User Content, you grant Chaceef, its affiliated companies and partners a nonexclusive, worldwide, royalty-free, fully paid, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation of their respective businesses.

You also hereby grant each user of the Site a non-exclusive, worldwide, royalty-free license to access your User Content through the Site and to use, copy, distribute, prepare derivative works of, display and perform such User Content to the extent permitted by the Site’s functionality and as permitted by this Agreement and applicable law.

No compensation will be paid by Chaceef with respect to the use of your User Content.

Chaceef is under no obligation to monitor, display or post any User Content, and assumes no responsibility or liability arising from any User Content posted by you or any other user. However, we reserve the right, and have absolute discretion, to monitor, screen, post, remove, modify, store and review User Content or terminate users at any time without notice.

Prohibited Uses

You may use the Site only for lawful purposes and in accordance with this Agreement. You agree not to:

Use the Site in any way that violates any applicable federal, state, local or international law or regulation.
Use the Site for any purpose that is unlawful or prohibited by this Agreement.
Use the Site to engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm Chaceef or users of the Site or expose them to liability.
Use the Site in order to transmit, distribute, store or destroy material, including without limitation User Content, (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others, or (c) that is libelous, obscene, threatening, abusive or hateful.
Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others.
Publish, post, upload, e-mail, distribute or disseminate (collectively, “Transmit”) any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.
Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another.
Advertise or offer to sell or buy any goods or services for any business purpose, unless the Site specifically allows such messages.
Conduct or forward surveys, contests, pyramid schemes or chain letters.
Download any file posted by another user that you know, or reasonably should know, cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the Site.
Violate any code of conduct or other guidelines, which may be applicable for any particular feature of the Site.
Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
Violate the privacy rights, publicity rights, copyrights, trademark rights, contract rights or any other rights of any person.
Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
Interrupt or attempt to interrupt the operation of the Site in any way.
Impersonate any person or entity, including, but not limited to, any of our employees or representatives.
Use the Site for any illegal or unauthorized purpose, or engage in, encourage or promote any illegal activity, or any activity that violates this Agreement.
Enforce or attempt to enforce any right or obligation under this Agreement which is waived or limited by this Agreement, including collection of debts, suits or prosecution for checks returned for insufficient funds, the right to injunctive relief or attorney’s fees.

We reserve the right to remove any User Content from the Site at any time, for any reason, without notice.

Third Party Websites

The Site may provide links to other websites maintained by third parties. These links are provided solely as a convenience to you. By linking to these third-party sites, we do not endorse or guarantee their content, or sponsor or otherwise approve of them. Chaceef does not provide any warranties, guarantees or representations regarding the safety, accuracy or quality of content on such third-party websites and is not liable for any loss or damage of any sort incurred as the result of any dealings with such third parties or as the result of the presence of links on the Site to such third-party sites.

Disclaimer of Warranties

YOUR USE OF AND BROWSING OF THE SITE ARE AT YOUR RISK. NEITHER WE NOR ANY OF OUR LICENSORS OR SUPPLIERS WARRANT THAT THE SITE WILL OPERATE ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES AND OTHER HARMFUL MECHANISMS.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, CHACEEF AND ITS AFFILIATES, SUBSIDIARIES, LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, QUALITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SITE AND ANY SERVICES OR GOODS PROVIDED THROUGH OR IN CONNECTION WITH THE SITE. CHACEEF DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SITE OR MATERIALS OR SERVICES PROVIDED THROUGH THE SITE WILL BE AVAILABLE, UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CHACEEF DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OF THE RESULTS OBTAINED FROM THE USE OF THE SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. Limitation on Liability

UNDER NO CIRCUMSTANCES SHALL CHACEEF OR ITS AFFILIATES, SUBSIDIARIES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SITE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER REGISTERED USERS OF THIS SITE OR PERSONS YOU MEET THROUGH THIS SITE. UNDER NO CIRCUMSTANCE WILL CHACEEF OR ITS AFFILIATES, SUBSIDIARIES, LICENSORS OR SUPPLIERS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SITE. YOUR ONLY RIGHT OR REMEDY WITH RESPECT TO ANY PROBLEMS OR DISSATISFACTION WITH THE SITE IS TO IMMEDIATELY CEASE USE OF SUCH SITE.

THE MAXIMUM AGGREGATE LIABILITY OF CHACEEF FOR DAMAGES RELATING TO OR ARISING OUT OF THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUE OR OTHERWISE), WILL BE LIMITED TO $100.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. Some jurisdictions also limit disclaimers or limitations of liability for personal injury from consumer products, so this limitation may not apply to personal injury claims.

Indemnification

You agree to defend, indemnify and hold harmless Chaceef, its affiliates, subsidiaries, directors, officers, employees, agents, partners and licensors from any claim, demand, loss, damages or costs, including reasonable attorneys’ fees, asserted by any third party due to or arising out of your use of the Site, your submission of User Content, your violation of this Agreement or any other acts or omissions. Chaceef reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Chaceef. Chaceef will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy posted on this Site. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into this Agreement by this reference.

Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that User Content infringes on the intellectual property rights of a third party. Please review our Copyright Policy posted on this Site. By using the Site you agree to be bound by our Copyright Policy.

Termination

You agree that Chaceef, in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Site for violating this Agreement and remove and discard any User Content for any reason, without prior notice. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a substantial period of time and/or to modify or discontinue all or part of the Site or its content at any time, for any reason, without notice. We shall not be liable to you or any third party for any termination of your access to the Site.

In the event of termination, all provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Miscellaneous

Entire Agreement. This Agreement constitutes the entire agreement between you and Chaceef regarding the use of the Site and supersedes all prior and contemporaneous written or oral agreements between you and Chaceef.
Severability. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that matches the intent of the original provision as closely as possible and the remainder of this Agreement will continue in effect.
Governing Law; Venue. The laws of the State of California, without regard to principles of conflict of laws, will govern this Agreement and any dispute that might arise between you and Chaceef or its affiliates regarding the Site. Any dispute relating in any way to your use of the Site shall be adjudicated in any state or federal court in Los Angeles County, California. You consent to exclusive jurisdiction and venue in those courts.
Waiver and Amendment. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement may be amended only by a written instrument signed by both you and Chaceef.
Assignment. You may not assign or transfer this Agreement without our prior written consent, and any attempted assignment or transfer in violation of this section shall be null and void. Chaceef may assign this Agreement to any affiliate or in connection with a merger, consolidation, restructuring, sale of substantially all of our assets, change of control or other transaction.
Notices. All notices and other communications given or made pursuant to this Agreement shall be in writing and shall be deemed effectively given upon the earlier of actual receipt, or when sent, if sent via email to [email protected].
Force Majeure. Chaceef shall not be liable for any failure or delay in performing obligations under this Agreement that is due to any cause beyond our reasonable control.
No Third Party Beneficiaries. This Agreement does not and is not intended to confer any rights or benefits on any person that is not a party to this Agreement.
